Terms of Use & License Agreement

Effective date: 13 October 2026

The short version. You may use Ductora under a license: a free trial, then a paid subscription. Your projects and data belong to you. Ductora is an estimating tool, and you remain responsible for checking every quantity, rate and price before you submit a bid. Please read the full terms below, especially sections 9 and 10.

1. Agreement

These terms are an agreement between you and Ductora, an independent software business based in Pakistan ("Ductora", "we", "us"). They cover the Ductora software, including the Windows app, the browser trial, updates, the built-in catalog and rate database, documentation and videos (together, the "Software"), and our services: license keys, updates and the Vane Pro AI service (the "Services"). If you accept these terms for a company, you confirm you may bind that company, and "you" means the company. By installing or using the Software you agree to these terms. If you do not agree, do not use it.

2. Free trial

You may use the Software free for 14 days to evaluate it. The Windows trial is the full program. A browser trial, when offered, may have some limits, which are shown in the trial. After the trial ends, the Software opens in read-only mode until you enter a license key. Your projects are not deleted.

3. License

Subject to these terms and payment of the fees, we grant you a limited, non-exclusive, non-transferable license to install and use the Software for your own business during your subscription. Unless your order says otherwise, each license is for one named user, who may install it on up to two computers they use. License keys are personal to the licensee. Do not share or publish them.

You may not:

The Software is licensed, not sold. We and our licensors keep all rights not expressly granted, including all intellectual property in the Software, the built-in catalog and database, the documentation and the videos.

4. Your data

You own your projects, plans, takeoffs, bids, proposals, rates and any other content you create or import ("Your Data"). Your Data is stored on your own device, and we do not claim any rights in it. You are responsible for backing it up. Ductora keeps its own safety copies before updates, but you should not rely only on these. Our Privacy Policy explains what limited information the Software and Services send to us.

5. Fees, renewal and refunds

6. Updates and support

During your subscription you receive updates as we release them. Ductora checks for updates automatically and installs them only when you choose "Update now". We may change, add or remove features, but we will not remove core takeoff and estimating functions from a paid subscription period without notice. Support is by email at [email protected], on a reasonable-effort basis, unless your plan says otherwise.

7. Built-in catalog, rates and defaults

Ductora includes a starting equipment catalog, labor hours, material prices, gauge tables, hanger, insulation and snap-lock rates, crew wages, tax tables and proposal text ("Default Data"). Default Data is only a starting point. It is based on general industry information and sample prices, which may be out of date or not suit your market, crews, specifications or local codes. You are responsible for reviewing it and setting your own rates in the company database before you rely on it.

8. The AI assistant

Vane, our AI assistant, produces answers and checklists automatically. They may be incomplete or wrong. Always check AI output against the plans, specifications and addenda before you use it. When you use Vane Pro, the text you send is processed by our AI provider as described in the Privacy Policy. Do not submit content you are not allowed to share.

9. Your responsibility for bids

Ductora is a tool that helps you estimate. It does not replace your professional judgment. You are solely responsible for every takeoff, quantity, scale, rate, price, bid, proposal and contract you prepare or submit using the Software, and for checking them against the contract documents, specifications, codes and site conditions. We are not responsible for lost bids, under- or over-bids, pricing errors, or any decisions you make based on the Software or its output.

10. Disclaimer and limitation of liability

To the maximum extent permitted by law, the Software, Services, Default Data and AI output are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Software will be error-free or uninterrupted.

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, bids, contracts, data or goodwill, even if we were told they were possible. Our total liability for all claims relating to the Software and Services is limited to the amount you paid us in the 12 months before the claim arose.

Some jurisdictions do not allow certain exclusions or limits, so some of the above may not apply to you. Nothing in these terms limits liability that cannot be limited by law.

11. Third-party components and services

The Software includes open-source components (for example PDF.js, licensed under the Apache License 2.0) under their own licenses, which are available on request or in the Software. Services we rely on, such as Cloudflare, Paddle and Anthropic, are provided under their own terms, and we are not responsible for their availability.

12. Termination

You may stop using the Software at any time. We may suspend or end your license if you materially breach these terms (for example by sharing license keys or not paying) and do not fix the breach within 14 days after we notify you. When your license ends you must stop using the paid features. Your Data remains on your computer, and you can still open and export it in read-only mode. Sections 4, 7–10, 13 and 14 survive termination.

13. Changes to these terms

We may update these terms. We will post the new version here with a new effective date and, for significant changes, notify customers by email or in the app at least 14 days before they apply. If you do not agree to the changes, you may cancel before they take effect. Continuing to use the Software afterwards means you accept them.
